Canada Jetlines gets another $13.5 Million in equity financing

The financially constrained Canada Jetlines has announced a new deal with an arm’s length investor Jetstream Aviation Inc. to raise $13,500,001.  The Offering consists of common shares issued at $0.1721252 per share.

The Offering is scheduled to close in three separate tranches. The first settlement will occur within two business days of the approval of the Neo Exchange Inc. This first tranche will see the Investor purchase 19,598,017 Shares, equal to approximately 19.9% of the issued and outstanding shares of Canada Jetlines, for an aggregate purchase price of $3,373,313.

Canada Jetlines says it intends to use the money to expand its fleet with another aircraft. Jetstream does not currently hold any shares and when all the financing has been given it will own approximately 50% of the struggling airline.

The completion of the second and third tranches shall require shareholder approval under the rules and policies of exchange and Canada Jetlines says it will seek approval at a special meeting of shareholders that will be scheduled promptly to occur in Ontario. If all is approved at the end of the transaction Jetstream Aviation will hold 78,431,287 Shares of the airline, representing approximately 50% of the firm.

As part of the transaction, the Investor will have the right to nominate two directors to the Board of Directors of the Company. The first director will be nominated concurrent with the closing of the second tranche of the offering. The second director will be nominated concurrent with the closing of the third tranche of the offering.

Canada Jetlines currently has a fleet of 3 Airbus A320s aircraft and flies mostly charter services for local sports teams and limited scheduled flights to holiday hotspots of Jamaica, Mexico, Las Vegas and Florida.  The carrier has a published target of 15 jets by 2025, however, that plan seems increasingly unlikely and to facilitate such an increase the airline is said to need a further $50 million.

This news release does not constitute an offer of securities for sale in the United States. The securities being offered have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and such securities may not be offered or sold within the United States absent U.S. registration or an applicable exemption from U.S. registration requirements.

Canada Jetlines releases second quarter results...

The Canadian budget airline Canada Jetlines has reported total operating revenues for the second quarter of 2023 of $8.8 million up from $5.1 million in the previous quarter.  The airline has increased its charter and ACMI (Aircraft, Crew, Maintenance, and Insurance) flights which generated $6.34 million this quarter.

Total operating expenses for the quarter were $9.23 million as compared to $8.15 million in the previous quarter, an increase of 13%. Increases were primarily driven by increased flying activity.

Total assets increased to $27,860,429 at the end of the current quarter from $27,289,573 as at December 31, 2022. The minor increase in total assets is primarily attributable to an increase in current assets that was partially offset by a decrease in Right-of-use assets due to depreciation.

Total liabilities increased to $33,753,436 at the end of the current quarter from $28,948,171 as at December 31, 2022. The increase was made up of the liabilities associated with an increase in deferred revenue and an increase in accounts payable and accrued liabilities, explained by the timing of payments and invoices received at the end of the period.

Canada Jetlines agrees charter deal with FlyAllways to provide a weekly service from Toronto to Guyana

Canada Jetlines, the budget wet-lease and chart carrier has confirmed it has agreed on a 6-month contract with FlyAllways, a Caribbean airline based in Suriname, to provide weekly flights between Toronto and Georgetown, Guyana.

The deal sees FlyAllways chartering Canada Jetlines to operate the service which is expected to start later this year subject to Guyanese government approval.

“We are looking forward to this partnership with FlyAllways. We know that there is a substantial demand for the Toronto/Georgetown market, and we believe FlyAllways, and the Canadian tour operator that they have partnered with, will be successful with the introduction of this route,” said Eddy Doyle President and CEO Canada Jetlines. In addition to our regular schedule flying, we have experienced strong demand for charter and ACMI/wet-lease flying, and the flight hours contemplated in this contract will keep one of our aircraft fully utilized.”

Canada Jetlines currently operates mostly charter operations to many Canadian and International destinations as well as a limited number of scheduled flights

Canada Jetlines increases flight hours during the second quarter.

The company that was tipped to be one the best and growing ultra-low-cost carriers in Canada,  Canada Jetlines has reported an increase in flight hours for the second quarter of 2023.

The airline that has yet to make a dent in the Canadian aviation industry said it had a high utilization rate for its fleet of two Airbus A320 aircraft which have operated 1,518 block hours in the period up to the end of June.  The firm advises this is a 265% increase over the 571 hours flown in the first quarter of this year.

Canada Jetlines recently obtained its foreign Air Operator certificate from the Jamaican government. Further Transport Canada has added North Atlantic operations to its certificate which will allow the airline to operate numerous charter flights to Greenland this summer.

Canada Jetlines has started the process to get European Third Country Operator (TCO) certificate which would allow the firm to bid on wet-lease contracts for the busy European summer season next year.

“We are very pleased with this significant growth in flying hours and high aircraft utilization. We continue to see strong demand and very positive reception in the industry for the quality of the service we provide. This is thanks to the commitment and dedication of our employees to service excellence,” said Eddy Doyle President and CEO of Canada Jetlines.

Whilst the airline hasn't made many inroads in the already highly competitive Canadian domestic scheduled service market,  it is carving out a niche as a mainly wet-lease charter operation, with a few sports teams already signing contracts.  It hasn't lived up to the pre-launch hype as of yet, but its third aircraft is on schedule to be delivered by the end of July 2023, subject to the usual 'satisfaction of all conditions precedent to delivery' the airline says.

Total assets increased to $27,289,573 from $5,236,914 as at December 31, 2021. The increase in total assets compared to 2021 is primarily attributable to the capitalization of right of use assets associated with aircraft leases and increase in property and equipment.

In March 2022, Canada Jetlines received determination of Canadian ownership and control by the CTA (Canadian Transportation Agency) and in the month of May 2022 the CTA concluded that the company had sufficient funds to meet the CTA requirements to issue its commercial license once the Air Operator Certificate (AOC) would be issued by Transport Canada.”

Mr. Doyle continued: “During all of 2022, Canada Jetlines worked assiduously towards the goal of completing the extensive process of obtaining its AOC for commercial large aircraft operations and taking possession of its first Airbus 320 aircraft. In August 2022, after months of preparation and crew training while still dealing with residual challenges and restrictions caused by the pandemic, the Company was proud to be the first airline in over a decade to obtain a new AOC from Transport Canada to operate large aircraft such as its Airbus 320 aircraft.”

Mr. Doyle further added: “In September, the Company operated its first revenue flights from Toronto to Calgary and was also in position to apply for foreign operating authority. Having anticipated and prepared for the extensive process to obtain permission to operate scheduled service of large passenger aircraft to the USA, Canada Jetlines was able to meet all the FAA and Department of Homeland Security requirements in record time and was granted such rights before the end of 2022.”
